The User is fully responsible for complying with the requirements of the Law of Ukraine ‘On the Protection of Personal Data’, in particular:
obtaining informed consent from clients;

ensuring the confidentiality and security of data.
We take technical measures to protect accounts, but we are not responsible for the User's actions regarding data processing.
Information is not transferred to third parties without the consent of the data subject, except in cases provided for by law.
The User is fully responsible for the legality of the processing of data entered into the Service and for respecting the rights of third parties, obtaining the consent of data subjects, informing the User's Customers about the purposes, scope, terms and conditions of processing, and protecting confidential information.

all information entered into PodoCard will be kept up to date by the User;
The User shall immediately notify PodoCard of any loss or change of phone number or email address (as means of authentication in PodoCard);
The User confirms that they will take all possible adequate measures to keep their PodoCard login passwords confidential. Such measures include: not disclosing passwords to third parties, logging into PodoCard using secure devices, etc.;

The User has the right to initiate the deletion of their account at any time through the PodoCard application. To do so, navigate to the Profile section, select the Delete Profile option and confirm the decision.
Once the account deletion request has been confirmed, use of the account is blocked. If the request is submitted by the owner of a company in the Service, access of all its employees to the company workspace is blocked as well. The final deletion of the account and the data associated with it — and, in the case of the deletion of a company owner’s account, also of the company workspace and its data — is carried out after 7 (seven) calendar days have elapsed from the moment the request was confirmed.
Before this period expires, the User may cancel the deletion request by contacting the support service at support@podocard.com. A timely request suspends the final deletion while the User’s entitlement to the account is verified. Once the entitlement to the account is confirmed, the deletion request is cancelled and access is restored, including access to the company workspace if it was blocked due to the request of its owner.
After the final deletion, the account and the deleted data cannot be restored. Exceptions regarding the retention of certain data on lawful grounds are set out in the Privacy Policy.
An organisation account may include employee accounts with different roles. Only the account owner and employees with the manager role may change the organisation's data. The owner and managers may also add, temporarily deactivate and reactivate employee accounts within the organisation. All actions performed by employees within the organisation account are considered actions of the respective User.
If the user believes that PodoCard has information that violates his rights (or the rights of the person he legally represents), the user is obliged to notify PodoCard and provide information confirming such a violation.
The user must not use the application to store information that:
contradicts the legislation of Ukraine;

SECTION 5: WARRANTIES AND LIABILITY
We do not guarantee the uninterrupted, secure, error-free, and accurate performance of the Service in accordance with the User's expectations.

From time to time, we may ask you to update the application or your software so that you can continue to use our services. We may perform these updates remotely, without notifying you.
You grant us permission to download and install updates to the PodoCard application on your device in accordance with your privacy settings. This permission can be revoked at any time by deleting PodoCard from your device.
All updates are mandatory for continued use of the Service, unless otherwise specified.
SECTION 7: FORCE MAJEURE
Each party shall be exempt from liability for failure to perform its obligations if such failure is caused by circumstances beyond the control of either party, namely: military actions, natural disasters, man-made and other accidents, strikes, lockouts, acts of authorities or government agencies, etc., which makes it impossible to fulfil the terms of this Agreement (hereinafter referred to as Force Majeure).
Force Majeure shall apply, and the party for which it has occurred shall be exempt from liability for breach of the terms of this Agreement, subject to written confirmation (conclusion, certificate) from the Chamber of Commerce and Industry of Ukraine regarding the occurrence of Force Majeure.
The party affected by Force Majeure undertakes to immediately notify the other party and provide documents confirming Force Majeure.
From the moment of receipt of such notification by the other party, the performance of the terms of this Agreement shall be suspended for the entire period of Force Majeure.

SECTION 9: INTELLECTUAL PROPERTY
All property and non-property intellectual property rights to the PodoCard Service (including design, code, databases, text and graphic content, logos, technical solutions, etc.) belong to the Owner and the Administration, unless otherwise expressly stated in the Agreement or on the Service.
The User is granted a non-exclusive, non-transferable, territorially limited right to use the Service exclusively for their own professional activities within the functionality of the Service.
The User is prohibited from:
copy, modify, decompile, decrypt, distribute, create derivative works or use in any other way any part of the Service without our written permission;
use trademarks, commercial designations, logos without our prior consent;
provide access to the Service to third parties, except as expressly provided in the Agreement.
We reserve the right to take all necessary measures to protect intellectual property rights, including going to court and claiming damages.
SECTION 10: PAYMENT AND PRICING PLANS
Access to the PodoCard Service is provided on a subscription basis under the current pricing plans: Pro and Team.
Upon registration of a new account, the User is granted a free trial period of 7 (seven) calendar days with full access to the Service's functionality (at the level of the Team plan). For Users who registered via a partner (referral) link, the trial period is 30 (thirty) calendar days. The trial is provided free of charge and does not require payment details. The Administration may change the duration and terms of the trial period.
After the trial period expires, if no paid subscription has been purchased, the User’s access to the main functionality of the Service is restricted. Upon logging in, the User is redirected to the pricing plans page in the web version of the Service, where they may select and pay for the relevant plan. The User also retains the ability to log out of their account. If a subscription is purchased after the end of the trial period, or a previously terminated paid subscription is renewed, the User regains access to the entire client base and other data stored in their account at the moment of renewal.
Data retention periods after access to the Service ends: if the User has never purchased a paid subscription, their account and all data entered into the Service are deleted automatically 2 (two) months after the end of the trial period. If the User has purchased a paid subscription, the data is retained for 2 (two) years from the end of the last paid period, after which it is deleted automatically. Deletion is irreversible: data cannot be restored after deletion. After the end of the trial period, the Administration notifies the User through the Service and/or at the email address associated with the account about the restriction of access, the temporary retention of the data entered, the duration of such retention, the scheduled date of irreversible deletion and the possibility of restoring access by purchasing a subscription.
Pricing is fixed per plan and does not depend on the number of users included within a selected subscription.
Current pricing, discounts, and terms are published on the official PodoCard website and may be changed by the Administration at its sole discretion.
Payment for the use of the Service is made on the PodoCard website by non-cash means through the WayForPay payment service, in advance for the selected period — a month or a year. The available payment methods are displayed on the payment page when the payment is made. A purchased subscription grants access to the Service both through the website and through the mobile application.
For corporate clients and organizations with specific requirements, individual terms may be offered upon request via customer support.
Prices may vary depending on the user’s region and may include applicable taxes (including VAT / sales tax) in accordance with local legislation.
The Service is fully digital. After successful payment, the subscription is activated automatically without any physical delivery of goods or documents.
To purchase a subscription, the User selects a pricing plan and a billing period on the PodoCard website and proceeds to the WayForPay payment page. Before confirming the payment, the User is shown the price of the subscription, the billing period and the terms of automatic renewal. By confirming the purchase of a subscription with automatic renewal, the User consents to recurring automatic charges through WayForPay on a monthly or annual basis, according to the selected billing period, until automatic renewal is cancelled.
Automatic renewal of subscriptions previously purchased through the App Store is discontinued as part of the transition to payment via WayForPay. Access to the Service under such subscriptions remains until the end of the period already paid for. To continue using the Service, the User purchases a new subscription on the PodoCard website via WayForPay. Neither the new subscription nor the automatic charges under it are set up without the User’s confirmation.
The User has the right to cancel the automatic renewal of the subscription at any time in the “Pricing plans” section on the PodoCard website. After cancellation, no further automatic charges are made, and access to the Service remains until the end of the period already paid for. Cancelling automatic renewal does not in itself constitute a refund request for the paid period.
After a successful payment, an email confirming the payment, with an invoice in PDF format attached, is sent to the User's email address.
SECTION 11: REFUNDS
● The User has the right, within 14 (fourteen) calendar days from the date of payment, including an automatic charge for the renewal of a subscription, to submit a request for a refund of the full amount of the relevant payment and for the termination of the subscription. This period for submitting a request does not limit the User’s rights to a refund or to other remedies provided for by applicable law.
● To initiate a refund, the User must send a corresponding request to the support service email address: support@podocard.com.
● The Administration confirms receipt of the refund request by sending a notification to the User’s email address.
● The refund is processed within 14 (fourteen) calendar days from the date the Administration receives the relevant request from the User. After the refund, access to the Service for the relevant paid period is terminated, and the automatic renewal of the subscription and any further automatic charges are cancelled.
● If payment was made by credit card, the refund will be issued to the same credit card (or via the same payment method) used to make the original payment.
SECTION 12: PARTNER (REFERRAL) PROGRAMME
The Administration may offer Users the opportunity to participate in a partner (referral) programme. Participation in the programme is activated by the Administration, including upon the User's request to the support service.
The partner is provided with a personal referral link in the form https://podocard.com/r/{code}. New users who register via such a link receive an extended trial period of 30 (thirty) calendar days.
The partner's reward is calculated as a percentage of the payments actually received from the users they have referred. The current percentage is displayed in the application and may be changed by the Administration. Refunds reduce the reward calculation base; test and promotional transactions are not taken into account.
Statistics on referred users and accrued rewards are available to the partner in the application. The procedure and timing of reward payouts are agreed with the support service.
Abuse of the programme is prohibited, including but not limited to: registering one's own additional accounts via one's own referral link, creating fictitious accounts, and mass mailings (spam) containing the referral link. If abuse is detected, the Administration has the right to cancel the accrued reward and terminate the partner's participation in the programme.
The Administration may change the terms of the partner programme or suspend it at any time. Participation in the partner (referral) programme is additionally governed by the Public Offer on Participation in the PodoCard Partner (Referral) Programme. Acceptance of that offer is a mandatory condition for activating the partner functionality. In the event of a conflict regarding participation in the partner programme, the provisions of the separate partner offer prevail, while this Agreement applies to all other matters. The amount of the partner reward and the procedure and timing of its accrual and payout are determined by the separate Public Offer on Participation in the PodoCard Partner (Referral) Programme and by the programme parameters displayed in the Partner’s Personal Account.
SECTION 13: COMPLIANCE WITH EUROPEAN UNION LEGISLATION
The PodoCard service complies with the requirements of the General Data Protection Regulation (GDPR) and other European Union legislation, including Directive 2002/58/EC (ePrivacy), Directive 2011/83/EU (consumer rights), Regulation (EU) 2022/2065 (Digital Services Act) and Regulation (EU) 2018/302 (Geo-blocking Regulation).
We ensure users' rights to personal data protection, the right to withdraw consent, delete an account, access data and transparency of the terms of use of the service.
Users from the EU can send a request to support@podocard.com to exercise their rights in accordance with applicable European legislation.
